Reporting to the Head – Legal Department, the role holder will be responsible for ensuring the core business of the bank i.e. lending to customers is highly supported by undertaking the conveyance and security perfection process.

The Role
The successful jobholder will be expected to:
  • Provide legal advisory services to all departments within the Bank including providing independent legal advice and judgment to mitigate any legal risks.
  • Manage litigation against the Bank including external lawyers involved in litigation as well as review, analyzing and interpreting laws, regulations and judicial decisions.
  • Provide support in contract negotiations and management including review of contractual agreements for the bank and providing recourse options for non-performing contractors as well as preparing, reviewing and modifying contractual instruments to assist and support various business activities.
  • Advice the relevant departments on the perfection of securities and documentation as well as managing the annual securities audits and advise on the remedial process.
  • Offer cost effective and timely legal advisory services and support to the credit recovery function of the Bank in order to foster effective management of regulatory and litigation risk in the recovery of Non-Performing loans.
  • Prepare and facilitate staff training on specific legal matters affecting the bank including dissemination of appropriate legal requirements to various departments.
  • Participating in risk management sessions that have a bearing on legal matters, review risk reports for purposes of managing key risks  efficiently in the risk management process and undertake research on current legal developments and prepare briefs to the Head of Legal.
  • Support the Board Secretariat in carrying out secretarial duties.
The successful jobholder will be required to possess the following qualifications:-
  • Must have a Bachelor of Laws (LL.B) Degree from a recognized University with a minimum of five years legal experience ideally in a leading organization, with a proven track record in litigation management and conveyance.
  • Must be an advocate of the High Court with a current practicing certificate. CPS will be an added advantage.
  • Working knowledge of the legal environment for Banking and general business/commerce in Kenya will be added advantage.

The Senior Legal Officer will be responsible to the Director, Complaints Management and Legal Services through the Head of Legal Services.

Specific duties and responsibilities will entail:-
  • Handling complex litigation cases and provide adequate representation of IPOA in civil and criminal Court Proceedings
  • Carrying out comprehensive analysis of evidence, which includes evaluation of evidence gathered in the course of investigations and to prepare legal reports and briefs
  • Carrying out research into legal issues pertinent to the operations of the Authority
  • Preparing statutory performance and annual reports in liaison with Heads of other departments of the Authority
  • Undertaking conveyancing and provide legal advice to the Authority on all aspects thereof
  • Handling matters pertaining to the preparation of cases for prosecution and oversee the prosecution thereof
  • Providing liaison with the Office of the Director of Public Prosecution and other relevant State Agencies
  • Undertaking any other duties that may be assigned from time to time
  • Must be a citizen of Kenya.
  • Meets the requirements of Chapter six of the Constitution of Kenya.
Required functional skills:
For appointment to this grade, an officer must have:-
  • A Bachelor’s degree in Law or equivalent qualifications from a recognized institution
  • Post graduate Diploma in legal studies
  • Registered as an Advocate of the High Court of Kenya
  • Served for a minimum period of three (3) years in the grade of either Legal Officer or for a period of six (6) years in Legal services, in the Public Service or Private Sector post admission experience in Law as a legal practitioner/academician or judicial officer
  • Knowledge and experience in a law enforcement environment will be an added advantage; and
  • Certificate in computer application skills

Reports To: Director General

Job Purpose: To advise Management and the Board on all Legal and regulatory matters pertaining to the Authority.

  • Preparing and organizing Board Meetings in compliance with all the laws, regulations and procedures.
  • Preparing the Agenda, Board papers, Board Minutes, and other Board documents including Notifications and to ensuring that Board members receive the documentation for meetings in a timely manner.
  • Keeping safe custody of Minutes of the Board, the Corporation’s seal and other Board documentation.
  • Coordinating the submission of timely replies by the Authority to Parliamentary questions that touch on the mandate and operations of the Authority.
  • Providing professional guidance to the Authority’s Board, Management and staff on compliance with good corporate governance practice.
  • Assisting the Director General in all legal matters pertaining to the Authority and planning, coordinating and overseeing advice and guidance given by the legal office of the Authority to the Board, Management and staff of the Authority, with a view to ensuring compliance with the laws, regulations and procedures relevant to the mandate and operations of the Authority.
The successful candidate must possess the following qualifications:
  • A relevant Master’s degree from a recognized university.
  • A Bachelor’s degree in Law from a recognized university.
  • Advocate of the High Court of Kenya.
  • Registered Certified Public Secretary.
  • A Diploma in Air Law will be an added advantage.
  • A Current Practicing Certificate.
  • Ten (10) years’ experience in Company / Corporate Law/Legal affairs.
  • Experience in the aviation sector is an added advantage.

Responsible for assisting the Legal Services Manager in providing technical legal leadership and investigating and enforcing cases of violations against the Company, ensuring compliance with the Company and Statutory requirements by providing legal advice to Management and the Company.

  • Participate in organizational performance contract reviews and business process improvements aimed at improving organizational effectiveness
  • In liaison with the Human Resource Department, ensure Company compliance with Labour laws.
  • Participate in Collective Bargaining Agreement negotiations between Management and the Union.
  • Participate in Disciplinary Committee meetings to review incidents of violations against organizational policy and regulations; handle disputes and recommend appropriate action in line with the law, approved policies, procedures and regulations.
  • Review complex, sensitive and high risk legal matters in order to determine which cases pose the greatest threat to the security of the Company
  • Provide legal advice and assistance on all aspects of government regulation and prepare opinions and legal interpretations on various matters related to the interpretation of applicable Statutes and Regulations.
  • Give guidance to lawyers representing Kenya Pipeline Company in courts of law, tribunals and before quasi-judicial bodies and may negotiate settlements to protect the interests of the Company in contested proceedings.
  • Monitor developments in legal research, participate in outreach programs to strengthen corporate governance and improve the quality of service delivery
  • Draft legal documents, interpret rulings and monitor implementation of laws and government policies and regulations
  • Establish and maintain contractual agreements with externally appointed professional legal firms to provide legal services in cases of civil or criminal litigation involving Kenya Pipeline Company
  • Gather evidence in cases involving Kenya Pipeline Company to establish and verify basis for legal proceedings in order to formulate legal defense or to initiate legal action
  • Conduct legal research, develop concept papers, prepare legal briefs and opinions as well as develop effective defense strategies, arguments and testimony in preparation for legal proceedings
  • Liaise with Attorney General’s Chambers, Registrar General, law enforcement agencies and stakeholders throughout the country in connection with prosecution of offenders and to develop and advance criminal cases when the violation warrants more severe action
  • Provide technical leadership to the legal team to develop, implement and evaluate strategic management plans and budgets aimed at improving performance standards and organizational effectiveness.

The Paralegal will be an integral part of the legal team and shall aid the Company Secretary in matters of Corporate Governance. In addition to ensuring compliance with statutory requirements, the Paralegal shall aid in the maintenance of the safe registers; and the tracking, recording and filing of Statutory Forms, Agreements, Correspondence, and any other legal documents and contracs.

  • Preparation of status reports for all legal processes involving all current projects
  • Supporting the administrative tasks of the Company Secretarial Office

The Manager will be responsible for playing an advisory role to the top management on legal issues and will report to the General Manager, Corporate Services. The Job holder will also ensure that the Authority’s legal obligations are met in accordance with the Rural Electrification Authority mandate.

  • Providing legal advice to management on all legal matters
